The session opens with remarks from Christopher Gillam, Director, Fund Investments, BDC Capital. Chrystal Healy, AVP, Corporate Sustainability, BDC. Key sustainability trends and insights drawn were shared from the report and highlighted what’s changing, what’s showing progress, but also the mounting headwinds shaping today’s operating environment. The conversation also references existing resources, guidance, and tools currently available to support DEI and ESG efforts.

The webinar will conclude with an interactive Q&A, creating space for participants to exchange perspectives, reflect on practical realities, and explore how these insights and supports can inform their own approaches.

Creative Consideration: Rollovers, Earnouts and Exchangeable Share Structures

Building on Fasken’s 2025 “SPA 101” session on Mastering the Purchase Agreement: Key Insights for Private Equity Professionals, please join for an “SPA 201” discussion of legal and contractual considerations for PE deal teams to be aware of when structuring purchase price consideration. Fasken PE partners Kiran Singh and Claire Gowdy will break down the various forms of purchase price consideration, including rollover consideration, exchangeable share structures, and the use of earnouts to bridge the valuation gap. They will also discuss strategies to reduce friction in the deal process.
